1. Acceptance and Scope
These Terms of Service ("Terms") govern authorized access to and use of Klients CRM (the "Platform"), an internal customer relationship management system for sales and customer-service operations. By accessing the Platform, an authorized user agrees to follow these Terms and applicable employer or organization policies.
If a separate written agreement governs an organization’s use of Klients CRM, that agreement controls to the extent of any conflict with these Terms.
2. About the Platform
Klients CRM supports customer and lead records, sales activity tracking, follow-up scheduling, communication histories, staff assignments, reporting, and related administrative workflows. Available features may vary by configuration, access level, and integration.
The Platform is a business operations tool; it is not a consumer-facing marketplace or a guarantee of business results.
3. Authorized Users and Accounts
Access is limited to personnel expressly authorized by the organization operating the CRM. Users must provide accurate account information where requested, use their assigned credentials, and promptly report suspected compromise.
- Do not share accounts or passwords.
- Do not access another user’s account without authorization.
- Do not attempt to bypass access restrictions or assigned roles.
- Notify an administrator when access is no longer required.
4. Customer Data and Confidentiality
Customer records, lead information, contact details, internal notes, and communication histories must be handled as confidential business information and personal data where applicable.
Users may access and use such information only to perform authorized job duties. Copying, exporting, forwarding, selling, or disclosing customer information for personal or unrelated purposes is prohibited unless properly authorized and lawful.
The organization determining the purposes and means of customer-data processing remains responsible for its collection, notices, permissions, and lawful use. Where Klients CRM acts on behalf of a separate organization, any applicable written data-processing agreement also applies.
5. Permitted Use and Sales Communications
The Platform may be used for legitimate sales, customer support, account management, follow-ups, and internal reporting. Users must follow applicable marketing, privacy, consumer-protection, and communications laws.
CRM access does not itself establish consent to call, email, or message a person. Users must respect opt-outs, suppression requests, and any restrictions imposed by their organization.
6. Prohibited Conduct
Users must not:
- Upload or process information obtained unlawfully.
- Use the Platform for harassment, deceptive outreach, spam, fraud, or impersonation.
- Scrape, bulk-extract, or redistribute data without authorization.
- Introduce malicious code or attempt to disrupt or reverse engineer the Platform contrary to applicable law.
- Interfere with audit trails, records, security controls, or other users.
- Use credentials, integrations, or APIs beyond granted permissions.
7. Roles, Permissions and Monitoring
Administrators may assign roles, teams, permissions, and customer ownership. Authorized administrators may review activity and operational records for security, compliance, service quality, and legitimate business management, subject to applicable law and internal policies.
Users should not expect personal privacy when using organizational accounts or resources beyond the protections provided by applicable law and workplace policies.
8. Integrations and Third-Party Services
The Platform may interact with approved messaging, email, telephony, hosting, or other services. Third-party services may have separate terms, privacy notices, availability conditions, and charges.
Organizations are responsible for obtaining any permissions required to connect third-party accounts and for complying with those providers’ rules. Klients CRM does not control independent third-party services.
9. Security and Incident Reporting
Users must use reasonable security practices, protect devices and credentials, and report suspected unauthorized access, data exposure, or misuse promptly to their administrator or the contact listed below.
Security features and controls depend on actual deployment and configuration. No system can promise uninterrupted operation or absolute protection against every threat.
10. Data Accuracy, Retention and Deletion
Users should keep business records reasonably accurate and avoid unnecessary or excessive personal data. Authorized administrators are responsible for applying applicable retention, correction, access, export, and deletion requirements.
Data may be retained where reasonably necessary for business operations, legal obligations, disputes, or security, in accordance with applicable policies and law. Deletion requests may be subject to lawful exceptions and technical backup cycles.
11. Availability and Changes
We may maintain, update, suspend, or modify Platform features for operational, technical, or security reasons. Scheduled maintenance, internet failures, provider interruptions, and other circumstances may affect availability.
Where reasonably practical, material changes affecting authorized users will be communicated through appropriate organizational channels.
12. Intellectual Property
Klients CRM branding, interface designs, software, and associated materials are protected by applicable intellectual-property laws and remain the property of their respective owners. Authorized access grants only a limited, revocable right to use the Platform for approved business purposes.
Customer information and organizational records are not transferred to Klients CRM staff for personal ownership merely because they are entered into the Platform.
13. Suspension and Termination
Access may be restricted, suspended, or terminated when employment or authorization ends, when security requires it, or when these Terms or applicable organizational policies are violated.
After access ends, users must stop using the Platform and must not retain unauthorized copies of customer or confidential business information.
14. Disclaimers and Liability
The Platform is provided for administrative and operational purposes. To the extent permitted by applicable law, we do not guarantee uninterrupted availability, error-free operation, completeness of user-entered data, or particular sales outcomes.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Any allocation of liability between Klients CRM and an organization may be governed by a separate written agreement.
15. Applicable Law and Disputes
These Terms are intended to operate subject to applicable laws, including those relevant to activities in Malaysia where applicable. Any governing-law, jurisdiction, or dispute-resolution provision in a separately executed agreement will apply as specified there.
Where no separate agreement applies, mandatory statutory rights and applicable conflict-of-laws rules remain unaffected. This section does not designate an exclusive court or waive non-waivable rights.
16. Changes to These Terms
We may update these Terms to reflect changes in the Platform, business practices, or applicable requirements. The effective date will be revised when updates are published. Where required, additional notice or acceptance will be obtained.
